Paramount Skydance Corp. outbid Netflix Inc. with a $111 billion offer to acquire Warner Bros. Discovery Inc., a move that is expected to profoundly impact the entertainment industry for decades to come. This deal comes after a months-long battle for Warner Bros. Discovery's assets and aims to give Paramount a larger share of the streaming economy.
The merger, which still requires regulatory approval, unites two significant media empires. Paramount will gain control over assets such as CNN, HBO, DC Comics, and the Discovery Channel. The integration of these vast channels, studios, and streamers presents a considerable challenge, though Paramount executives have been planning for months.
The path to this merger was recently cleared after four states that had initially opposed terms of a deal with California conceded, leading to a settlement. Despite this, a federal judge has expressed "outstanding questions" regarding the settlement and is considering whether to approve it, with a ruling not expected until at least next week. The settlement has faced criticism for not forcing Paramount to divest assets or reduce its industry control, instead focusing on film production quotas and the establishment of certain requirements.
This consolidation reflects the ongoing pressure on traditional media companies from the rise of streaming, which has eroded revenue from cable subscriptions, advertising, and movie ticket sales. The 2022 merger between Warner and Discovery Inc., orchestrated by David Zaslav, was an earlier attempt to bolster Warner's position in the streaming landscape with low-cost unscripted programming.
