Tata Sons' board approved both a public listing and a five-year extension for Chairman N. Chandrasekaran at a meeting on September 17. This decision was made despite strong opposition from Noel Tata, who serves as the chairman of Tata Trusts and is a director on the Tata Sons board. Noel Tata specifically voted against Chandrasekaran's reappointment and had previously voiced concerns about the group's debt and the potential dilution of control that a listing could bring for Tata Trusts, which holds 66% of Tata Sons. His veto was ultimately countered by Venu Srinivasan, vice chairman of Tata Trusts.

The push for a public listing stems from a mandate by the Reserve Bank of India (RBI), which rejected Tata Sons' request to surrender its Core Investment Company (CIC) registration. This rejection means Tata Sons remains subject to regulatory oversight as an upper-layer Non-Banking Financial Company (NBFC), which includes a requirement to list on stock exchanges. Tata Sons had applied in March 2024 to surrender its registration after repaying over $2.5 billion (Rs 21,000 crore) in debt, but the RBI denied the application on September 11.

The board's decision to reappoint Chandrasekaran followed months of uncertainty regarding his tenure, as he had previously indicated he would not seek a third term after his current one expires in February 2027. His initial decision was partly due to concerns raised by a board member during a February 2026 meeting. The Shapoorji Pallonji (SP) Group, a minority shareholder with an 18.4% stake, has long advocated for a listing to monetize its investment and reduce its debt, aligning with the outcome of this meeting.

Following the news, shares of major Tata group companies saw significant gains. Tata Investment Corp led the rally, with increases ranging from 0.15% to 5%. Tata Motors Passenger Vehicles rose by 5%, and Tata Motors climbed 3%. Even IT major TCS, which initially surged by 3%, closed up 0.2%. Analysts like Aishvarya Dadheech of Fident Asset Management noted that this leadership continuity instills investor confidence and supports the group's future value-unlocking strategies.
