Two Sigma’s Overdeck Says Control of Firm a Concern in Divorce

John Overdeck, co-founder of Two Sigma Investments, is in a contentious divorce trial where he is defending his $723 million settlement offer to his wife, Laura Overdeck. Laura is seeking 35% of his interest in the firm, which she values at $6.2 billion, equating to roughly a $2.2 billion claim. Overdeck argues that this demand is excessive and that his proposed $723 million, which includes about $600 million for his Two Sigma interest and other marital assets (some of which Laura had already withdrawn), is fair given her contribution to the appreciation of his stake during their 24-year marriage.

The divorce proceedings are unusually significant because Overdeck and co-founder David Siegel each control roughly half of Two Sigma, and they have been embroiled in a governance struggle for years, leading to a 2023 regulatory disclosure about "material challenges" and a subsequent leadership reorganization. Overdeck testified that a substantial transfer of his economic interest to Laura could further destabilize the firm's ownership structure and potentially weaken his position relative to Siegel. Two Sigma, founded in 2000, managed less than $1 billion when the couple married in 2002 and now oversees over $80 billion, making the valuation of Overdeck's stake a central point of contention.

Laura Overdeck contends that Two Sigma was an early-stage business when they married without a prenuptial agreement, implying that much of the subsequent appreciation in his ownership occurred during their marriage. John Overdeck disputes taking sole credit for the firm's success, attributing growth to broader industry expansion, technological advancements, and rising equity markets, not just his personal efforts. He also highlighted that while he was the highest-paid individual at Two Sigma, receiving approximately $685 million during their marriage, his compensation represented no more than 10% of the total amount paid out by the firm. The dispute could lead to the largest divorce settlement in New Jersey's history and potentially one of the largest worldwide.
