ArcelorMittal has decided not to proceed with the takeover of ArcelorMittal CLN Distribuzione Italia Srl, a steel distribution joint venture it held with Italian auto supplier CLN-Coils Lamiere Nastri SpA. The decision comes after the Italian government's move to nationalize Acciaierie d’Italia (ADI), formerly owned by ArcelorMittal. The steel producer had previously intended to gain full control of the joint venture, established in 2015, by converting its debt into equity. This strategy was part of a debt restructuring effort for the ailing Stellantis supplier.
The broader context for this withdrawal stems from ongoing disputes between ArcelorMittal and the Italian government regarding the management and ownership of Acciaierie d’Italia, Italy’s largest steelworks located in Taranto. In January 2024, the Italian government, led by Prime Minister Giorgia Meloni, announced its intent to seize control of ADI from ArcelorMittal following failed negotiations. This decision was driven by concerns over declining output, high energy costs, weak industrial demand, and the risk of mass layoffs.
The nationalization of ADI has led to significant legal battles. In January 2026, state-appointed administrators for ADI filed a lawsuit against ArcelorMittal, seeking €7 billion ($8.2 billion) for alleged "mismanagement." ArcelorMittal vehemently denies these claims, asserting that it fulfilled all contractual obligations and invested approximately €2 billion to revitalize the plant. The steelmaker argues that legislative interventions by the Italian government, including the removal of legal protections in 2019, hindered its ability to implement environmental plans and ultimately led to its withdrawal from a lease agreement. ArcelorMittal has also launched international arbitration proceedings against Italy, seeking over €1.8 billion for alleged unlawful expropriation and discriminatory measures.
