Vista Global, the parent company of VistaJet and XO, is reportedly exploring an initial public offering (IPO) in Europe, aiming to raise around $1 billion. This move comes as the company continues to manage its significant debt load, which stood at approximately $4.1 billion in total IFRS debt with net leverage around 4.4x adjusted EBITDA at the end of 2024. The IPO is seen by some analysts as a potential mechanism to fix the balance sheet, rather than a discretionary growth step, especially given that refinancing markets are not currently offering favorable terms for its near-term debt maturities, such as $500 million of senior notes due in 2027.

The discussions around an IPO gained traction after company executives raised the prospect during an earnings call with lenders, causing Vista's bond prices to climb. For example, its 6.375% notes due 2030 rose approximately seven points to 93.359. Founder Thomas Flohr, who maintains a controlling stake, has confirmed that an IPO is among the financial options being considered, though he emphasized his intent to retain control of the company. The company has demonstrated strong operational performance, reporting $810 million in EBITDA in 2024, nearly $3 billion in annual revenue, and a 16% year-over-year membership growth to 1,490, along with 85,700 flight hours.

In recent financial maneuvers, Vista issued a $525 million unsecured bond due in 2032, with proceeds primarily intended to redeem the $500 million of senior notes due in 2027. This follows a $600 million equity investment from RRJ Capital and a $700 million term loan in 2025, which aimed to reduce leverage. The company also secured a $215 million add-on to its term loan in February 2026. While the company's underlying business, operating on a subscription model, is profitable, public market investors often remain skeptical of high-fixed-cost aviation companies, particularly in the current economic climate. A successful IPO would not only strengthen the balance sheet but also provide public market validation for Vista's unique business model.
