Moderna Inc. announced its intention to offer $2 billion in convertible senior notes due in 2029 through a private offering. This move is aimed at bolstering its oncology research and development efforts, which have gained significant investor attention recently.

The decision to raise capital follows an impressive 177% surge in Moderna's stock price on Wednesday, adding roughly $45 billion to its market value in a single day. This came after the company, in partnership with Merck & Co., revealed that their individualized mRNA cancer vaccine, intismeran, succeeded in a highly anticipated Phase 3 trial for melanoma. The vaccine, designed to target 34 unique protein flags on tumor surfaces, was tested alongside Keytruda, showing promise in delaying cancer recurrence.

While specific data from the trial are yet to be released, analysts like Myles Minter of William Blair upgraded Moderna's stock, projecting peak annual sales of $5.4 billion for intismeran in melanoma alone. TD Cowen analyst Tyler Van Buren called the results a "landmark moment" and a "significant validation" of the underlying mRNA technology, anticipating "impressive" future results across Moderna and Merck's nine ongoing trials, which include mid-stage studies in kidney and bladder cancers and a late-stage trial in lung cancer. Needham analyst Joseph Stringer also described the melanoma trial as a "landmark win" that could position oncology as a major growth driver for Moderna.

However, some analysts, such as Evercore ISI's Cory Kasimov and Leerink Partners' Daina Graybosch, cautioned that the market's euphoric response might be "overly optimistic." Graybosch specifically noted that melanoma is "uniquely suited to a vaccine" and that success in other cancer types is not guaranteed. Despite these warnings, the substantial stock gains, which initially pushed Moderna's shares from $63 to over $174, indicate strong Wall Street belief in intismeran's potential to become a cornerstone of melanoma treatment and to expand into other tumor types. The offering is expected to help fund the extensive and costly development needed to realize this potential.
