Thales SA, a French defense company, successfully issued a $1.2 billion (€1 billion) bond on Thursday, August 20, 2026. This bond offering is intended to partially fund its acquisition of maritime robotics firm Exail Technologies SA. The offering was divided equally into two tranches: one with a four-year maturity and the other with an eight-year maturity. Both tranches saw significant investor demand, attracting over $2.7 billion (€2.55 billion) in total.

The strong demand allowed Thales to tighten the final spreads on both tranches considerably. The four-year note priced at 45 basis points over mid-swaps, and the eight-year note priced at 65 basis points over mid-swaps. These final spreads were 32.5 basis points tighter than the initial price thoughts for both tranches, indicating robust investor confidence in the offering.

Thales had previously announced its intention to acquire Exail Technologies, with an implied enterprise value of $4.5 billion (€3.9 billion). The acquisition involves Thales initially purchasing the Gorgé family's 35.51% stake in Exail for $134 (€134) per share, a 44% premium to Exail's unaffected share price as of June 25. Following this, Thales plans to launch a mandatory tender offer for the remaining shares and convertible bonds. The purchase of the Gorgé family's stake is expected to close in the third quarter of 2026, with the full tender offer anticipated to conclude by early 2028. This bond issuance is a key step in securing the necessary funding for this strategic acquisition.
