AI Financial Corp, a fintech firm associated with the Trump family's crypto venture, World Liberty Financial, has sold its Canadian subsidiary, ALT5 Sigma Canada, to New York-based Prime Delta. The deal, disclosed in a U.S. Securities and Exchange Commission filing on Friday, involves a $12 million secured promissory note, with $1 million due the following week and the remainder paid over time, in addition to approximately 11.6 million shares of Prime Delta stock.
This sale occurs weeks after Perpetuals.com abandoned its plans to acquire the same subsidiary. The financial terms of the deal indicate a significant transaction for AI Financial, especially considering its share price has fallen dramatically from over $9 to around 44 cents since August 11, 2025, the date of a previous deal where ALT5 Sigma partnered with World Liberty Financial. That 2025 partnership involved ALT5 Sigma raising $750 million to buy World Liberty tokens, sending more than $500 million to the Trump family.
AI Financial, formerly known as ALT5 Sigma, had previously sued Prime Delta, alleging misappropriation of company data by a former consultant. This dispute was settled in December without either party admitting wrongdoing. Prime Delta is described as a financial services firm specializing in "credit intermediation and strategic financial advisory."
