Japan's Kirin Holdings Company is set to acquire Jamieson Wellness Inc., a Toronto-based supplements brand, for C$2.5 billion ($1.78 billion) in an all-cash transaction. This acquisition will make Jamieson Wellness a wholly-owned subsidiary of Kirin.

The deal represents a significant premium for Jamieson Wellness shareholders, with the consideration offering a 27% and 32% premium to the 20-day and 60-day volume-weighted average price on the Toronto Stock Exchange, respectively, for the period ending June 24, 2026. This date was chosen as it was prior to media reports and the company's announcement of a potential transaction.

The acquisition is anticipated to close in the fourth quarter of 2026 and is subject to several conditions, including approval from Jamieson Wellness shareholders, court approval, and various regulatory clearances. The transaction is not contingent on financing. Jamieson's directors and senior officers have already committed to supporting the deal through voting and support agreements.

This move aligns with Kirin's long-term strategy to become a global leader in improving consumer well-being, positioning itself within the health and wellness sector. The enterprise value of the transaction is approximately C$2.5 billion, while the fully diluted equity value is around C$2.0 billion.
