The transaction is anticipated to close in the second half of 2026, pending customary regulatory approvals. Under Thoma Bravo's majority ownership, Command Alkon undertook a comprehensive digital transformation, accelerating growth and significantly advancing its platform, including a transition to the cloud with Command Cloud and the launch of AI-enabled capabilities. Heidelberg Materials became a significant minority shareholder in 2021 by acquiring a 45% interest from Thoma Bravo, a deal that then valued Command Alkon at approximately $1.7 billion. This continued partnership with Heidelberg Materials is seen as bringing valuable industry perspective as Command Alkon further expands its agentic AI-driven and autonomous plant operation capabilities.
