Dangote Petroleum Refinery & Petrochemicals (DPRP) has officially announced the successful conclusion of a landmark private placement, raising approximately $2.5 billion. The offering was significantly oversubscribed, reaching 3.7 times its initial target, demonstrating strong investor confidence in DPRP's long-term strategy and growth prospects. This capital raise is believed to be Africa’s largest publicly disclosed primary equity private placement by value.
The private placement attracted a diverse group of investors, including international and African institutional investors, sovereign-related investment vehicles, development finance institutions, and long-standing strategic partners. Key participants included the Africa Finance Corporation (AFC) and India Infra Buildco, an investment vehicle facilitated by the African Export-Import Bank (Afreximbank). This diverse investor base reflects broad market confidence in the refinery's future.
Proceeds from this private placement will be utilized to finance the continued expansion of the refinery and petrochemical operations. It will also reinforce DPRP's capital structure and enhance its financial flexibility for future investments. Aliko Dangote, Chairman of DPRP, stated that this capital raise is a strategic move to deepen and institutionalize the company's shareholder base, complementing both internal cash flows and external financing. This marks a major milestone in the company’s long-term expansion strategy.
Separately, sources indicate that this fundraising comes ahead of a planned Initial Public Offering (IPO) which could raise an additional $1.5 billion to $2 billion, with a public listing expected as early as August, although this remains subject to market conditions and regulatory approvals. The private offering itself reportedly attracted approximately $4 billion in investor demand, valuing the Dangote Petroleum Refinery & Petrochemicals at about $40 billion.
This capital infusion is expected to support an ambitious expansion plan to more than double the refinery's processing capacity to 1.4 million barrels per day by 2028, positioning it among the world's largest refining complexes. Additionally, the company recently secured $750 million through a debt offering, further strengthening its capital base for these extensive projects.
