General Fusion, a Vancouver-based company, is preparing to go public through a merger with Spring Valley Acquisition Corp. III, a special purpose acquisition company (SPAC). This transaction will make General Fusion the first "pure-play" nuclear fusion company accessible to public investors. The deal, expected to close in mid-2026, implies an enterprise value of $724 million for General Fusion and is projected to funnel an immediate $105 million onto its balance sheet, with a potential for an additional $230 million depending on the SPAC's redemption rates. The combined entity is expected to have a pro-forma equity value of approximately $1 billion and will trade on Nasdaq under the ticker symbol GFUZ.
The company, founded in 2002 and backed by investors including Jeff Bezos's personal investment fund Bezos Expeditions, has raised $400 million since its inception. Just last year, General Fusion raised $66 million and utilized it to construct LM26, a 50% commercial-scale nuclear fusion machine. Despite facing a funding crunch and conducting layoffs in early 2025, the company has secured $108 million from an oversubscribed private investment in public equity (PIPE) accompanying the SPAC deal. This PIPE funding is intended to support operations through the end of 2028 and facilitate key development work on its fusion demonstration device, aiming to achieve scientific break-even, where the machine produces more energy than it consumes.
The merger, which has been approved by the boards of both General Fusion and Spring Valley Acquisition Corp. III, aims to provide significant capital for General Fusion's ambition to commercialize nuclear fusion by the mid-2030s. The company's goal is to achieve the Lawson criterion, a combination of fusion parameters necessary to produce net fusion energy. General Fusion emphasized its focus on practical commercialization, ensuring its technology can be integrated into existing power plants and utilizes readily available materials. This move into public markets is seen as a way to broaden the investor base for fusion energy development, moving the sector from pure scientific endeavor to commercialization.
