Renk Group AG (Renk), a German gearbox manufacturer, is reportedly on the verge of acquiring David Brown Defence, a UK-based company specializing in gears and transmissions for military applications, according to sources familiar with the matter. This potential acquisition would mark a significant expansion of Renk's defense capabilities and portfolio.
The deal for David Brown Defence is estimated to be valued at more than £500 million, which translates to approximately $632 million. David Brown Defence is currently owned by the private equity firm Liberty Hall Capital Partners. The acquisition discussions are said to be in advanced stages, with an announcement potentially coming as early as this month.
This move aligns with Renk's strategic focus on strengthening its defense business. Earlier this month, Renk received a substantial boost when its US subsidiary, Renk America, secured a five-year framework agreement with the Army Contracting Command, valued at up to $691 million, for HMPT-800 transmissions for the US Army's medium armored vehicle fleet, including the Bradley fighting vehicle and the new Armored Multi-Purpose Vehicle (AMPV). The company has reaffirmed its full-year targets, projecting revenue above €1.5 billion and adjusted EBIT in the range of €255 million to €285 million, underpinned by an order backlog of approximately €6.9 billion. This strong financial and strategic position likely enables the potential acquisition.
The acquisition comes amidst a broader sentiment shift in the European defense sector, as evidenced by Renk's stock rebounding more than 10 percent from its recent low. However, the stock's technical picture remains fragile, trading below its 50-day and 200-day moving averages, with a high 30-day annualized volatility of 53.14 percent. The investment firm Fidelity recently rebalanced its holding in Renk, with its total stake remaining at 3.23 percent. Renk is also exploring options for its civilian industrial business, including potential partial or full sales of sub-units, to further refine its focus on defense operations.
