Bending Spoons, an Italian technology company specializing in acquiring and revitalizing software businesses, is seeking to raise as much as $1.62 billion through a U.S. initial public offering. This IPO would be a significant event for European tech companies and a rare large listing in the software sector this year. The company plans to offer 58 million shares at a price range of $26 to $28 per share, with an expected early July debut on the Nasdaq Global Select Market under the ticker symbol "BSP". At the top end of this range, the IPO would value Bending Spoons at $19 billion.

Approximately 60% of the IPO shares will be sold by Bending Spoons itself, while the remaining portion will come from existing shareholders, including Baillie Gifford. Goldman Sachs Group, JPMorgan Chase, and Allen & Co. are leading the offering. Bending Spoons' portfolio includes notable digital brands such as Vimeo, WeTransfer, AOL (acquired for $1.5 billion in October 2025), and Eventbrite (acquired for around $500 million in March 2026). The company was founded in 2013 and raised $710 million in late 2025, which valued it at $11 billion pre-investment.

Bending Spoons reported strong financial performance, with net income of $27.5 million on revenue of $601 million for the first three months of 2026. This is a significant improvement from a net loss of $112.2 million on revenue of $259 million during the same period a year earlier. The company attributes much of its productivity gains to AI, with the proportion of code changes authored or co-authored by AI rising from under 10% in Q1 2025 to over 90% a year later. This AI-driven efficiency doubled revenue per employee from $1.12 million in 2023 to $2.57 million by 2025, achieved with minimal headcount growth despite receiving around 800,000 job applications in 2025.
