The proposed acquisition price of around $10.9 billion reflects a substantial premium of approximately 60% over Apogee's closing share price of $90.38 on the Thursday prior to the announcement. This high premium indicates AbbVie's aggressive strategy to secure promising assets in the competitive biotech landscape. The deal, which could be announced as early as Monday, represents AbbVie's largest bolt-on acquisition since 2020.

Apogee Therapeutics is a clinical-stage biotech company specializing in antibody drugs for inflammatory and immune diseases. Its lead candidate, zumilokibart, is a long-acting alternative to Dupixent, a prominent inflammatory treatment. Zumilokibart is being developed as an injection administered every three to six months, offering a potential advantage over existing treatments that require more frequent dosing. This could significantly widen its application across conditions like atopic dermatitis, asthma, and other inflammatory conditions, positioning it to compete in the $200 billion global market if Phase 3 results are positive.
