Activist investor Ancora Holdings Group has taken a stake in Ashland Inc. and is advocating for the specialized chemical company to sell itself. Ancora believes a sale could unlock significant shareholder value, potentially increasing the share price by at least 30% from current levels. Ashland's stock has declined approximately 50% since its peak in December 2022, currently trading near $57.50, giving the company a market capitalization of $2.7 billion. Ancora estimates a sale could push the stock to at least $76 per share.
Ancora began accumulating its position in Ashland in April, following disappointing fiscal second-quarter earnings that caused the company's stock to drop. According to Ancora, Ashland has missed consensus estimates in four of the last five quarters, and its shares fell nearly 15% in the 24 hours after its Q2 2026 earnings release. This performance has led investors to question the company's standalone growth strategy, which Ancora argues has failed to deliver volume benefits over the past three and a half years.
The activist investor intends to engage in discussions with Ashland's Board of Directors regarding a potential sale. Ancora has indicated that it is prepared to launch a proxy fight if significant progress toward a deal is not made by September, when the director nomination window opens. The hedge fund posits that a sale would attract interest from both strategic buyers and financial sponsors due to Ashland's high-quality assets, particularly its Life Sciences and Personal Care divisions, which generate 75-80% of its EBITDA with high-20% margins. Ancora's sum-of-the-parts valuation suggests Ashland is worth $81.39 per share, representing a 41.6% upside, and indicates a competitive process could see the company valued above $80 per share. Standard Industries' investment arm already holds a significant stake of approximately 9.9% in Ashland and has a history of taking companies private.
